This Notice is being given pursuant to Business and Commercial Law for dissolution of corporations and associations of the state of Arkansas on behalf of BEE JAY’S HAIRSTYLING ACADEMY, INC. To the extent you present a claim in accordance with the procedures outlined below, you must identify the entity you are submitting the claim against. Receipt of this Notice is not an acknowledgment that you have a claim (as defined herein) against the dissolved corporation. Accordingly, if you believe you have a claim, or a contractual claim contingent upon the occurrence or nonoccurrence of future events or otherwise conditional or unmatured (each a “claim” other than any claim pursuant to an implied warranty as to any service, performance, product manufactured, sold, distributed or handled by the dissolved Corporation, you must present each such claim in accordance with the procedures set forth below. All claims must be presented in writing and must contain sufficient information reasonably to inform the respective dissolved corporation of the identity of the claimant and the substance of the claim. Claims should contain complete copies of all supporting documentation, including but not limited to, all amendments, addendums, invoices, tax statements, tax identification numbers, state issued photo identification of individual claimant, Articles of organization of entity claimant, filings and acknowledgements. Claims should detail the amount, acceptable reductions or adequate alternative provisions to satisfy liabilities of the dissolved corporation. A "claim" does not include a contingent liability or a claim based on an event occurring after the effective date of dissolution. Claims, must be signed, notarized and responded to within thirty (30) days, if to be considered, and will represent a perpetually binding irrevocable settlement offer of the claimant. Claims for the dissolved corporation should be sent to the following address: Sutter & Gillham, PLLC 310 West Conway, Benton, Arkansas 72015 as well as filed with the Pulaski County Circuit Clerk’s office. All claims must be received at the address listed above on or before May 1, 2017 postage prepaid signature not required. Failure to inhere to claim requirements may work as a waiver of claimant’s rights. ANY AND ALL SUCH CLAIMS WILL BE BARRED IF NOT RECEIVED BY May 1, 2017. As permitted by law, the dissolved corporation or their successor entities may make distributions to other creditors or claimants and to the dissolved corporation respective members or persons interested as having been such without further notice to the claimant. This notice does not revive any claim barred or subject to a statute of limitations as of the date hereof or any date after the date hereof, nor does it constitute acknowledgment that you are a proper claimant of the dissolved corporation. The dissolved corporation is an independent and separate legal entity and maintains itself as such. The dissolved corporation reserves the right to reject, in whole or in part, any claim submitted to it in response to this Notice.
